Purpose
Guiding Principles
The Board of Trustees establishes policy, sets strategic direction, exercises financial oversight, and evaluates organizational performance.
The Library Director administers the library's day-to-day operations in accordance with Board policies and applicable law.
Individual trustees have no authority to direct library staff or make decisions on behalf of the Board unless specifically authorized through formal Board action.
The Board of Trustees serves as the governing body of the library district and is responsible for establishing policy, providing financial oversight, and ensuring the library fulfills its mission on behalf of the community.

- Adopt and revise Board policies.
- Hire, evaluate, and, if necessary, dismiss the Library Director.
- Approve the annual budget.
- Exercise financial oversight.
- Establish strategic direction and priorities.
- Adopt and amend Board bylaws.
- Ensure compliance with applicable federal, state, and local laws.
- Represent the interests of the community.
- Act only through official Board action taken during properly noticed public meetings.

The Library Board Clerk serves as the official records officer of the Board of Trustees and provides administrative support to ensure the Board fulfills its legal and governance responsibilities. The Board Clerk performs duties assigned by Idaho law, Board policy, and the Board of Trustees.
- Supervise library employees.
- Direct daily library operations.
- Become involved in routine personnel decisions.
- Override administrative decisions except through Board policy or formal Board action.
Library Board Clerk
Responsibilities
The Board Clerk shall:
Individual trustees serve as members of the governing Board and exercise authority only when acting collectively as the Board.
- Prepare and distribute Board meeting agendas and supporting materials as directed by the Board Chair and Library Director.
- Record, maintain, and publish official Board meeting minutes.
- Maintain official Board records, resolutions, bylaws, and other governing documents.
- Post meeting notices and agendas and assist the Board in complying with Idaho’s Open Meeting Law and Public Records Act.
- Maintain trustee oaths of office, terms of office, and other required Board records.
- Coordinate Board correspondence and provide administrative support for Board activities.
- Perform other duties assigned by the Board consistent with applicable law and Board policy.
Individual Trustees

- Promise or imply Board action without Board approval.
- Speak on behalf of the Board unless specifically authorized.
- Commit library resources or expenditures.
- Interfere with administrative or personnel decisions.
Library Director

Department/Branch Managers (Team Leads)

- Coordinate daily library services.
- Recommend operational improvements.
- Ensure high-quality public service.
Library Staff
Staff shall:

- Follow Board policies and administrative procedures.
- Protect patron confidentiality.
- Provide courteous, equitable, and professional public service.

Questions regarding day-to-day operations should follow the appropriate chain of communication.

Board members should refer operational questions, concerns, or complaints directly to the Library Director rather than to library staff.
Employee Concerns
Employees are encouraged to resolve workplace concerns through established supervisory channels.
Nothing in this policy limits an employee's legal rights, including whistleblower protections or the reporting of unlawful conduct.
Board Review of Employee Complaints
The Board generally becomes involved only when a complaint alleges:
- Unlawful conduct
- Discrimination or harassment
- Retaliation
- A violation of Board policy
- A matter for which administrative remedies have been exhausted
Anonymous Complaints
Anonymous complaints may be considered at the Board's discretion.
Formal Board action regarding personnel matters generally requires sufficient independent evidence to ensure fairness, due process, and compliance with applicable law.
Public Participation
- Attend Board meetings.
- Offer public comment.
- Suggest improvements.
- Participate in library programs.
- Vote in trustee elections.
